My practice as a sole proprietorship focuses on tax matters and planning. My clients consist of closely held small businesses operating as corporations, partnerships, proprietorships and LLC's; tax exempt organizations; and individuals. I operate with a very small staff because I enjoy working directly with my clients and helping them navigate the tax laws as they navigate their individual and business life.
For example, in 2010 I was able to structure the sale of a partnership interest between brothers that provided capital gain treatment to my client rather than the higher ordinary tax rate that would have been applied on depreciation recapture. In another project, I provided a business valuation to three LLC members planning for the future of their very successful business. Perhaps the most satisfying was obtaining an $ 88,000 refund for a business client after a three year appeal process with the IRS.
